These Terms of Service ("Terms") govern access to and use of the Cherine service. By creating an account, the Customer unconditionally accepts these Terms as well as the DPA.
1. Purpose
Cherine provides a service enabling the collection, analysis and restitution of information relating to the use of digital services, accessible via technical integration means and a dedicated interface.
2. Account
The Customer is responsible for the accuracy of the information provided, the confidentiality of its password, and any activity carried out from its account.
3. Customer's warranty
The Customer warrants that it holds the legal right to operate the website(s) on which the Cherine script is installed, that it is the owner or duly authorized party, and that no legal or contractual provision opposes the processing of the visitors concerned.
4. GDPR and ePrivacy consent
The Customer undertakes to collect, BEFORE any loading of the Cherine script, the explicit, free, informed and unambiguous consent of its visitors, in accordance with the GDPR and ePrivacy Directive. The Customer implements a reliable technical mechanism to block the script in the absence of consent, as well as a simple way to withdraw it.
5. Acceptable use
- No tracking without prior consent.
- No collection of sensitive data within the meaning of Article 9 of the GDPR.
- No attempt to scrape or intercept other customers' data.
- No use intended to harm, harass or discriminate against an identified or identifiable person.
6. Quotas, suspension and termination
The service is subject to the quotas of the subscribed plan. Cherine may suspend or terminate the account in case of breach of these Terms, payment default, or manifestly unlawful use, after a notice that remains without effect for 7 days, except in case of emergency.
7. Payment
Subscriptions are billed via Stripe at the rates in force. Unless mandatory provisions provide otherwise, no pro-rata refund is due in the event of early termination by the Customer.
8. Intellectual property
All intellectual property rights relating to the Service, including in particular its software, technologies, algorithms, models, interfaces, databases, content, documentation, developments, improvements, updates, visual elements, know-how and more generally any element composing or enabling the operation of the Service, remain the exclusive property of Cherine or its licensors. Data collected via the service belongs to the Customer, who retains full control.
9. Indemnification
The Customer shall indemnify and hold Cherine harmless against any claim, action, administrative fine or judgment arising directly or indirectly from a breach of its obligations, in particular from a lack of visitor consent, lack of information, or non-compliance with any local law applicable to the Customer.
10. Limitation of liability
The Service is provided 'as is' and without any express or implied warranty, in particular as to its fitness for a particular purpose, availability, continuity or absence of errors.
The Customer acknowledges using the Service at its own risk and remains solely responsible for its use of the Service, the results obtained, and any decision taken on the basis of the Service or the information provided.
To the fullest extent permitted by applicable law, Cherine shall not be liable for any damage whatsoever, direct or indirect, tangible or intangible, consequential or not, foreseeable or unforeseeable, including in particular any loss of data, loss of revenue, loss of business, loss of clientele, loss of opportunity, damage to image or reputation, or business interruption.
In any event, any liability action against Cherine is expressly excluded for damages resulting from (i) non-compliant use of the Service, (ii) use of the Service by the Customer or its users, (iii) the inaccuracy, insufficiency or illegality of data provided by the Customer, or (iv) the Customer's failure to comply with its contractual or legal obligations.
11. Modifications
Cherine may modify these Terms with 30 days' notice, sent by email or in the dashboard. The Customer's refusal constitutes termination at the end of the notice period.
12. Governing law
These Terms are governed by French law. Any dispute shall fall within the exclusive jurisdiction of the courts of Paris, subject to mandatory consumer-protection rules.
